Shell Agrees to Sell Its Nigerian Domestic Gas Distribution Business to Vaaris Energy
Shell Petroleum B.V. announced on 13 October that it has agreed to sell its full interest in the Shell Nigeria Gas Group to Vaaris Energy Limited, a Nigerian company. Business Times Nigeria reported on 14 October that the deal covers a domestic gas distribution network of about 170 kilometres serving more than 130 industrial and commercial customers in Ogun, Abia and Rivers states. Financial terms were not disclosed, and completion remains subject to regulatory approvals.
Shell Nigeria Gas Limited has operated since 1998 as a distributor rather than an upstream producer or LNG operator. Shell said the business will keep serving customers until the transaction closes, and that it intends to focus Nigerian capital on deepwater and integrated gas activities, including its interest in Nigeria LNG. Vaaris would acquire an established customer base and pipeline platform instead of building an equivalent network from scratch.
For industrial buyers, continuity of pipeline gas matters more than the change of owner. No change to contracts or prices has been announced. The sale shifts a midstream distribution asset into Nigerian ownership while leaving Shell in the export-oriented gas chain, a distinction that matters as Lagos presses for more domestic gas delivery against unpaid power-sector invoices and weak grid supply.
